In no event shall MemoryCareAI’s total liability exceed the amount you have paid MemoryCareAI in the twelve (12) months preceding the event giving rise to the claim.

13. Governing Law and Dispute Resolution


These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

 

Any disputes arising out of or relating to these Terms or your  se of the Services shall be resolved through binding arbitration conducted by a single arbitrator in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding.

If any provision of these Terms is found to be unlawful, void, or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms, together with the Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and MemoryCareAI with respect to your use of the Services and  upersede any prior agreements or understandings, whether written or oral.
